By using GreenKhata, you agree to these Terms. They govern your access to our AI billing platform — including voice invoicing, GST tools, WhatsApp delivery, and all related services — and incorporate our Privacy Policy and applicable Indian law as updated through May 2026.

01Definitions
For these Terms and Conditions ("Terms"), "Company", "we", "us", and "our" mean GreenKhata Technologies Pvt. Ltd., operating under the brand GreenKhata. "User", "you", and "your" mean any individual, sole proprietor, partnership, company, or other legal entity accessing or using the Services.
"Services" include our software-as-a-service platform and related products for AI-assisted billing, invoicing, GST workflows, digital ledgering, WhatsApp communication features, point-of-sale functions, inventory operations, reporting, analytics, integrations, and associated support.
Key Defined Terms
- "Account" means your registered profile, credentials, permissions, and workspace within GreenKhata.
- "User Content" means data, text, invoices, transaction records, customer details, voice inputs, files, and materials submitted by you or your authorized users.
- "Confidential Information" means non-public technical, business, financial, operational, or legal information disclosed by one party to the other.
- "Applicable Law" means all laws, rules, regulations, standards, circulars, and government advisories relevant to your use of the Services in India and, where relevant, other jurisdictions.
02Agreement to Terms
By accessing, registering for, subscribing to, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all policies incorporated by reference, including our Privacy Policy, AI Terms of Use, Refund Policy, Cookie Policy, and Disclaimer.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization. If you do not agree to these Terms, you must not access or use the Services.
03Eligibility
You must be legally competent to contract under Applicable Law to use the Services. If you are an individual, you must be at least 18 years old. If you are using the Services for a business, you must have all registrations, approvals, and authorizations necessary for your operations.
You represent that your use of the Services is not prohibited by sanctions, insolvency restrictions, court orders, or sectoral prohibitions applicable to you. We may request verification information and suspend access if eligibility criteria are not met.
04Account Registration & Security
You are responsible for providing accurate account details, maintaining updated contact information, and safeguarding login credentials and access devices. You must promptly notify us at support@greenkhata.ai if you suspect unauthorized use or compromise.
You are responsible for all activity occurring under your Account, including actions of employees, contractors, agents, and delegated users. You must ensure role-based access discipline, secure endpoint hygiene, and periodic credential rotation in your organization.
- Do not share admin credentials across multiple persons.
- Enable available security controls and keep recovery channels current.
- Review user access logs and deactivate dormant users promptly.
05Description of Services & Scope
GreenKhata provides AI-enabled business tooling for Indian merchants and service providers, including voice-assisted bill creation, invoice generation, GST-oriented billing flows, payment and communication utilities, and operational modules for restaurant and retail workflows.
Illustrative Feature Scope
- Voice billing support with natural-language and structured command interpretation.
- GST-ready invoice templates and tax field structuring support.
- WhatsApp-connected customer communication workflows where enabled.
- Restaurant POS capabilities, counter billing, KOT-style and service operations.
- Inventory tracking, item management, stock-linked billing aids, and reporting.
- Analytics, reminders, customer insights, and workflow automation features.
Feature availability may vary by subscription plan, region, integrations, policy restrictions, infrastructure constraints, and lawful compliance requirements. We may add, modify, suspend, or retire features without guaranteeing perpetual availability of specific functionality.
06Acceptable Use & Prohibited Activities
You agree to use the Services only for lawful and authorized business purposes. You must not use the Services in ways that violate Applicable Law, third-party rights, public policy, or platform integrity.
You must not:
- Create fraudulent, misleading, forged, or backdated invoices or records.
- Upload malware, run automated abuse, scrape unauthorized datasets, or attempt service disruption.
- Reverse engineer, decompile, or bypass technical controls except where law expressly permits.
- Use AI or voice features to generate unlawful, defamatory, obscene, or discriminatory content.
- Process personal data without valid lawful basis, including consent where required.
- Use the Services to evade tax, consumer, financial, or record-keeping obligations.
We may investigate suspected misuse and may remove content, restrict access, or terminate Accounts in accordance with these Terms and Applicable Law.
07Subscriptions, Billing, Trials & Refunds
Paid features are offered on subscription terms specified at purchase or order form stage. Unless stated otherwise, subscriptions may renew automatically for equivalent billing periods, and you authorize recurring charges through your chosen payment method until cancelled.
Trial access, promotional credits, and introductory plans are subject to eligibility, duration, usage caps, and plan-specific conditions. We may modify trial entitlements, discontinue promotional schemes, or convert trial access to paid subscriptions where you provide payment authorization.
All fees are payable in accordance with invoicing cycles, and delayed payments may attract suspension, service throttling, or lawful recovery actions. Refund eligibility, exclusions, and process timelines are governed by our Refund Policy.
08Service Levels & Availability
We use commercially reasonable efforts to maintain service continuity, but uninterrupted or error-free availability is not guaranteed. Planned maintenance, emergency patches, third-party outages, force majeure, and telecom or cloud failures may cause downtime or performance degradation.
You acknowledge that performance of AI, voice transcription, messaging, and integration-dependent features may vary due to language quality, network quality, provider constraints, or model limitations.
- Scheduled maintenance windows may be announced through in-app or email communication.
- Incident response timelines depend on severity, scope, and dependency impact.
- No service credits apply unless explicitly documented in a written enterprise agreement.
09Intellectual Property & User Content
All rights, title, and interest in the Services, including software, UI/UX, algorithms, models, trademarks, branding, documentation, and derivative improvements, remain vested with GreenKhata Technologies Pvt. Ltd. or its licensors. No ownership rights are transferred to you.
You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, index, and use User Content as necessary to provide, secure, troubleshoot, support, and improve the Services in accordance with Applicable Law and our Privacy Policy.
You represent that you have all rights and permissions needed to upload and process User Content, including customer data and third-party information.
10Confidentiality
Each party agrees to protect the other party's Confidential Information using reasonable safeguards no less than those used for its own similarly sensitive information, and not to disclose such information except as required for performance under these Terms or as required by law.
Confidentiality obligations do not apply to information that is publicly available without breach, lawfully received from a third party without restriction, independently developed without reference to Confidential Information, or approved for disclosure in writing.
11Regulatory Compliance & Legal Framework (2026)
You agree to comply with all Applicable Law in relation to your use of the Services. We design and operate the platform with reference to Indian digital law developments as of 2026; however, legal obligations remain context-specific and may require independent legal review for your business category and jurisdiction.
DPDP Act 2023 and DPDP Rules 2025 (India)
- We process personal data in line with Digital Personal Data Protection Act, 2023 principles and notified Digital Personal Data Protection Rules, 2025 requirements, including consent and purpose limitation expectations where applicable.
- The Data Protection Board of India may receive and adjudicate eligible complaints and compliance matters under the DPDP framework.
- Users acting as data fiduciaries are responsible for lawful notice, consent management, retention discipline, and grievance handling in their own operations.
- The phased implementation timeline includes consent-manager linked obligations from November 2026 and wider full-obligation readiness by May 13, 2027, subject to official notifications and legal updates.
- For reportable incidents, breach notification expectations may include a 72-hour timeline under applicable legal or regulatory directions.
IT Act, 2000 and IT Rules, 2021
Where applicable, intermediary and information-security obligations under the Information Technology Act, 2000 and associated 2021 rules may apply. You are responsible for lawful content conduct, records, and notices relevant to your business usage.
Consumer and E-commerce Law
Digital service transactions may fall under the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020. You must ensure fair disclosures, lawful representations, and compliant customer practices in invoices, claims, and communications generated through the Services.
12GST, Tax & E-Invoicing Disclaimer
GreenKhata provides software tools that assist with invoice formatting, tax field handling, and GST workflow facilitation, but does not provide statutory certification of tax correctness for your transactions.
You are solely responsible for accurate tax classification, HSN/SAC usage, GST rate mapping, place-of-supply determination, input tax credit eligibility, return filing, reconciliation, e-invoicing applicability, and issuance of legally valid documents.
- SaaS subscriptions are generally subject to GST (currently 18%) under prevailing Indian tax interpretation and may change by law.
- Taxes, duties, cesses, levies, and withholding obligations applicable to your purchase or onward billing remain your responsibility unless explicitly stated otherwise.
- You should consult a qualified tax professional for transaction-specific compliance and audit preparedness.
13Third-Party Services & Integrations
The Services may integrate with third-party platforms and providers, including messaging systems, payment processors, identity and login providers, cloud services, and AI infrastructure providers. Your use of such integrations may be subject to separate third-party terms and privacy notices.
Illustrative examples include WhatsApp-based communication services, Google services, Razorpay payment processing, and model/API providers used for AI capabilities. We are not responsible for the independent acts, outages, policy changes, or data handling decisions of third-party services.
14AI & Voice Features
AI and voice features are assistive tools intended to improve productivity and workflow speed. Outputs, transcriptions, classifications, and recommendations may be probabilistic and may contain inaccuracies, omissions, or context errors.
You must independently review and validate all AI-assisted outputs before relying on them for billing, tax, accounting, procurement, legal compliance, customer commitments, or regulatory filing.

For international users, we may provide informational transparency statements aligned with emerging cross-border frameworks, including high-level transparency principles reflected in the EU AI Act. These references are informational only and do not constitute legal advice or direct legal representation of your obligations.
15Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
We do not warrant that the Services will meet all of your business requirements, produce guaranteed outcomes, or remain compatible with all third-party systems at all times.
16Limitation of Liability
To the fullest extent permitted by law, in no event shall GreenKhata Technologies Pvt. Ltd., its directors, officers, employees, affiliates, licensors, or partners be liable for any indirect, incidental, special, consequential, exemplary, punitive, or business interruption damages, including loss of profits, revenue, goodwill, data, or anticipated savings.
Subject to non-excludable liabilities under Applicable Law, our aggregate liability arising out of or relating to the Services and these Terms shall not exceed the fees paid by you to us for the Services during the twelve (12) months preceding the event giving rise to the claim.
17Indemnification
You agree to defend, indemnify, and hold harmless GreenKhata Technologies Pvt. Ltd. and its affiliates, personnel, and service providers from and against claims, liabilities, penalties, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your breach of these Terms or incorporated policies.
- Your misuse of the Services or unlawful processing of personal or transactional data.
- Your violation of tax, consumer, financial, IP, or third-party contractual obligations.
- Content, records, invoices, communications, or outputs generated by your authorized users.
18Termination
You may stop using the Services at any time and may request account closure subject to outstanding dues and data handling protocols. We may suspend or terminate access, in whole or in part, if you breach these Terms, present legal/compliance risk, fail payment obligations, or engage in prohibited conduct.
Termination does not extinguish obligations that by nature survive, including payment liabilities, IP rights, confidentiality, limitation of liability, indemnity, and dispute provisions.
19Data Privacy & Security
Our data handling practices, user rights disclosures, retention principles, and protection controls are described in our Privacy Policy. You are responsible for configuring and using the Services in a manner consistent with your own legal obligations as data fiduciary or processor, as applicable.
We implement reasonable technical and organizational safeguards; however, no digital system is completely risk-free. You must maintain endpoint security, user training, and operational controls to reduce compromise risk in your environment.
20Dispute Resolution & Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of laws principles. Parties will first attempt good-faith resolution through written notice and commercial negotiation.
Subject to mandatory consumer rights and statutory remedies, courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms and the Services.
21General Provisions
These Terms, together with incorporated policies and any executed order forms, constitute the entire agreement between you and GreenKhata Technologies Pvt. Ltd. concerning the Services and supersede prior communications on the same subject.
- Severability: If any provision is held unenforceable, the remaining provisions continue in full force to the extent permitted by law.
- Waiver: Failure to enforce a right is not a waiver unless expressly made in writing.
- Assignment: You may not assign these Terms without our prior written consent; we may assign in connection with merger, restructuring, or asset transfer.
- Force Majeure: We are not liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, cyber incidents, telecom failures, or government actions.
- Changes to Terms: We may update these Terms from time to time; continued use after effective updates constitutes acceptance of revised Terms.

Grievance redressal requests may be escalated to our designated grievance handling channel and processed in accordance with applicable IT and consumer law obligations. Where relevant under data protection law, data principals may also pursue remedies through statutory mechanisms, including the Data Protection Board of India, as notified under applicable DPDP provisions.
Payment processing for subscriptions may be handled through RBI-aligned payment partners such as Razorpay. We do not store full card credentials on our own systems, and card/token handling is governed by regulated payment ecosystem standards and partner terms.
